Except for the warranty set forth in Section 12(a) of the Terms and Conditions, Seller makes no warranty whatsoever with respect to the goods, including any warranty of merchantability, warranty of fitness for a particular purpose, warranty of title, or warranty against infringement of intellectual property rights of a third party, whether express or implied by law, course of dealing, course of performance, usage of trade, or otherwise. Buyer’s sole remedies under any sale of goods shall be subject to and set forth in Section 12 of the Terms and Conditions. The foregoing may not be changed except by an agreement in writing executed by all relevant parties. We hereby certify that goods covered hereunder have been produced in compliance with the Fair Labor Standards Act of 1938, as amended. Any credit memos issued to Buyer shall expire if not used by Buyer within one year from the date of the credit memo.
